General terms and conditions
1. Payment
1.1 All prices are quoted in Swiss francs (CHF), unless otherwise agreed by both parties.
1.2 Payment shall be made within 30 days of invoicing.
1.3 Projects are invoiced with a 30–50% deposit. The remaining amount will be charged according to the number of hours worked in each stage.
1.4 Unless otherwise agreed in writing, Destinazio shall charge an hourly rate of CHF 140.00 for all work. For express projects commenced within 24 hours during standard operational hours, an urgency fee of CHF 40.00 per hour shall apply.
1.5 If the client fails to meet payment obligations, Destinazio reserves the right to suspend services and/or withhold the right of use to the delivered work until full payment has been received.
1.6 If the project is delayed by the client, Destinazio shall nevertheless be entitled to demand the full project amount after 60 days of inactivity, unless otherwise agreed in writing.
2. Website
2.1 Unless otherwise agreed, content such as texts and images shall be provided by the client.
2.2 Costs incurred for payable plug-ins and/or SaaS solutions requested by the client will be invoiced separately. If estimated working hours are exceeded at the client’s request, the additional work will be charged at the normal hourly rate.
2.3 A test phase of 15 days after the official launch is included. During this time, Destinazio will correct all defects and bugs that appear. After this period, all subsequent corrections will be billed as technical support at the normal hourly rate.
2.4 Destinazio shall provide advance notice of planned maintenance or operational disruptions. However, Destinazio cannot be held liable for interruptions due to maintenance, migration, troubleshooting, or force majeure. The agency disclaims liability for related damages, penalties, lost profits, or other claims.
2.5 Destinazio disclaims any liability for issues arising from the operation or availability of third-party web and SaaS providers (e.g. Webflow, Hostinger, Shopify, Mailchimp, etc.). Should such a platform experience outages, service changes, or termination, Destinazio will, to the best of its ability, assist the client in identifying and migrating to alternative solutions.
2.6 Destinazio assumes no responsibility for malfunctions resulting from client or third-party modifications. Any support required in such cases will be billed at the normal hourly rate.
2.7 Training for website and CMS use, including the creation of video content, will be charged at the normal hourly rate.
3. Hosting, Domain & E-Mail
3.1 Hosting, domain, and email services are billed annually, from 01 January to 31 December.
3.2 Destinazio shall not be held liable for managing pre-existing third-party agreements (e.g. hosting, domains, mail).
3.3 Hosting and domain contracts provided by Destinazio must be cancelled in writing (by email with PDF signature or by post) at least 30 days before year-end; otherwise, they automatically renew for one year.
3.4 Support and installation of email accounts on devices (e.g. MacMail, Outlook, smartphones, tablets) will be billed at the normal hourly rate.
3.5 Destinazio cannot be held liable for hosting interruptions due to maintenance, migration, troubleshooting, or force majeure.
3.6 Destinazio explicitly disclaims liability for failures or data loss resulting from third-party hosting providers (e.g. Hostinger). The client acknowledges that hosting and domain services may be subject to the provider’s own terms, conditions, and operational limits.
3.7 The client is responsible for ensuring that stored data complies with applicable data protection laws. Destinazio assumes no liability for data protection compliance, privacy policies, or cookie handling.
4. Support & Maintenance
4.1 Support can be provided either on an hourly basis or through predefined service contracts.
4.2 The scope, conditions, and pricing of service contracts are specified in separate agreements.
5. Availability of Operations & Response
5.1 Destinazio provides its services (maintenance, support, monitoring) during operational hours: Monday to Friday, 9:00–17:00 (excluding public holidays and local non-working days).
5.2 Requests outside these hours are handled in the next available support window. The standard response time is 48 hours (within operating hours).
5.3 Destinazio undertakes to initiate fault repair within the stipulated response time and aims to resolve issues within a reasonable timeframe, depending on classification and complexity.
5.4 Services outside operational hours or with faster turnaround can be provided for an additional fee (see Point 1.4).
5.5 During officially announced holidays, operations may be reduced. Urgent matters will still be addressed as best as possible; non-urgent work resumes after the holiday period.
6. Online Marketing
6.1 If commissioned, Destinazio and the client will agree on keywords and priorities for SEO/SEA activities.
6.2 Destinazio may set up and manage necessary accounts (e.g. Google Analytics, Google Ads, Google Business) on behalf of the client.
6.3 Unless otherwise agreed, optimisation focuses on Google Search results. Improvements on other search engines may occur but are not guaranteed.
6.4 Search engine advertising costs are determined by third-party operators and are billed separately.
6.5 The display and ranking of ads are determined solely by the search engine’s algorithm; Destinazio has no influence over these mechanisms and assumes no responsibility for their outcomes.
7. Mandates
7.1 Destinazio may be commissioned for consulting, design, communication, branding, and strategy projects.
7.2 All client information shared with Destinazio employees and freelancers shall remain confidential, both during and after the project.
7.3 Destinazio undertakes to protect the client’s interests to the best of its knowledge. Budget and timeline deviations shall be communicated by both parties without delay.
7.4 Destinazio may engage third parties in the fulfilment of its mandate, acting with due diligence in their selection and supervision. The agency assumes no liability for third-party performance.
7.5 Intellectual property: Destinazio retains authorship of all created works. After full payment, the client receives an unlimited right of use, including the right to edit. Destinazio may reference created works for documentation and self-promotion.
7.6 Liability is limited to the amount of the fee invoiced for the last six months related to the specific project. Further liability, particularly for consequential or third-party damages, is excluded.
8. Print Data
8.1 The client must approve the print proof (PA) before production.
8.2 After approval, Destinazio assumes no responsibility for printing errors or defects caused by the printer.
9. Affiliate Marketing
9.1 This offer is available exclusively to existing Destinazio clients.
9.2 A valid order must be signed and completed before any refund applies.
9.3 The rebate is paid only after full settlement of the original contract.
9.4 Destinazio reserves the right to change the terms of this offer at any time.
10. Other
10.1 Destinazio assumes no liability for the public effect, interpretation, or reception of its work.
10.2 Projects based on third-party software or SaaS platforms (e.g. Webflow, Hostinger, Shopify, Mailchimp) are subject to the respective provider’s terms and availability. Destinazio disclaims any liability for platform-related outages, price adjustments, or service terminations. If such an event occurs, Destinazio will support the client in finding a replacement solution under the standard hourly rate.
10.3 These General Terms and Conditions are governed by Swiss law. The exclusive place of jurisdiction is Siders (VS), Switzerland.
